Terms of Service

These Terms of Service ("Terms") govern access to and use of simplifyai.com and related services (the "Services") provided by SimplifyAI Technologies, Inc. ("SimplifyAI", "we", "us", or "our").

By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. The Services

SimplifyAI provides document translation, conversion, and related productivity tools. Features may change over time. We may add, modify, or discontinue features with reasonable notice when practical.

2. Accounts

You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account. Notify us promptly of any unauthorized use.

You must be at least 16 years old (or the age of digital consent in your country) to use the Services.

3. Acceptable use

You agree not to:

• Use the Services for unlawful, harmful, or abusive purposes
• Upload content you do not have rights to process
• Attempt to disrupt, reverse engineer, or bypass security or usage limits
• Resell the Services without our written permission
• Use the Services to generate or distribute malware, spam, or content that infringes others' rights

We may suspend or terminate accounts that violate these Terms.

4. Your content

You retain ownership of documents and content you upload ("Customer Content"). You grant SimplifyAI a limited license to host, process, transmit, and display Customer Content solely to provide the Services you request.

You represent that you have all rights necessary to upload and process Customer Content through the Services.

5. AI-assisted processing

Some features use third-party large language models and related AI systems. Outputs may be inaccurate or incomplete. You are responsible for reviewing outputs before relying on them for professional, legal, medical, financial, or other high-stakes use.

6. Plans, credits, and payments

Paid plans, credit packs, and pricing are described in the product billing pages and may change over time.

• Credit packs are one-time purchases and generally do not expire unless otherwise stated.
• Subscriptions renew automatically each billing period until cancelled.
• You can cancel auto-renewal before the next billing date; access continues through the end of the paid period.
• Taxes may apply based on your location.
• Payments are processed by Stripe. Chargebacks or refund requests are handled according to our policies and applicable law.

Except where required by law, fees are non-refundable once credits have been granted or a subscription period has started.

7. Intellectual property

The Services, software, branding, and documentation are owned by SimplifyAI or its licensors. These Terms do not transfer ownership of our intellectual property to you.

8. Third-party services

The Services may integrate with third-party providers (for example payment, authentication, storage, or AI model providers). Their terms and privacy policies apply to their own processing.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or that outputs will meet your requirements.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMPLIFYAI AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM.

11. Indemnification

You will defend and indemnify SimplifyAI against claims arising from your Customer Content, your use of the Services, or your violation of these Terms or applicable law.

12. Termination

You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms, if required by law, or if we discontinue the Services. Sections that by nature should survive termination will survive.

13. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Courts located in Delaware will have exclusive jurisdiction, except where applicable consumer protection laws require otherwise.

14. Changes

We may update these Terms from time to time. The "Last updated" date will change when we do. Continued use after changes become effective constitutes acceptance of the updated Terms.
